Xtra-Gold Announces TSX Approval of Warrant

Toronto, Ontario--(Newsfile Corp. - August 30, 2017) -
Xtra-Gold Resources Corp. (TSX: XTG) (OTCQB: XTGRF)
announces that, further to its news release of August 17, 2017, the Toronto Stock Exchange has approved amendments to the
terms of 1,250,000 common share purchase warrants (the "2016 Warrants") as follows:
the expiry date has been extended to August 25, 2018, and
the exercise price has been lowered from $0.65 to $0.50 per common share.
The 2016 Warrants were originally issued pursuant to a non-brokered private placement closed on May 25, 2016.
The amendments come into effect on August 31, 2017.
