and Grants Stock Options
FOR IMMEDIATE RELEASE… Vancouver, British Columbia: Wealth Minerals Ltd. (the “Company” or
“Wealth”) – (TSXV: WML; OTCQB: WMLLF; SSE: WMLCL; FSE: EJZN) reports that they have secured
loans and granted stock options.
Loans
The reports that, subject to TSX Venture Exchange (“TSXV”) acceptance, the Company has secured
loans in the aggregate amount of $616,650 (the “Loan”) with certain arm’s length lenders
(the “Lenders”) and one non-arm’s length lender (the “Lenders”).
The Loan has a two-year term and bears interest at a rate of 5% per annum compounded annually, payable
on or before the maturity date. The Company has agreed to issue an aggregate 12,333,000 non-transferable
bonus common share purchase warrants (each, a “Bonus Warrant”) to the Lender s. Each Bonus Warrant
will entitle the holders to purchase one common share in the capital of the Company at an exercise price of
$0.05 per share for a period of two years. All securities issued pursuant to the Loans will be subject to a
hold period of four months and one day in Canada from the date of issuance. The funds available from the
Loans will be used for general working capital and claim fees.
In connection with the Loans, the non-arm’s length Lender is a director of the Company and as such, this
transaction constitutes a "related party transaction" as such term is defined under Multilateral Instrument
61-101 – Protection of Minority Security Holders in Special Transactions ("MI 61-101”). The Company is
relying on the exemptions from the formal valuation and minority approval requirements under MI 61- 101.
The Company is exempt from the formal valuation and minority approval requirements of MI 61- 101 in
reliance on sections 5.5(a) and 5.7(1)(a) of MI 61-101 as the fair market value of the transaction, insofar as
it involves interested parties, is not more than the 25% of the Company's market capitalization.”
Stock Options
Pursuant to the Company’s Amended 2004 Incentive Stock Option Plan, the Company has granted
incentive stock options to directors, officers, employees and consultant s of the Company to
purchase up to 15,050,000 common shares in the capital stock of the Company. The options are
exercisable on or before June 18, 2027 at a price of $0.05 per share.
