Wealth Amends Non-Brokered Private Placement
FOR IMMEDIATE RELEASE....Vanc ouver, British Columbia: Wealth Minerals Ltd. (the
“Company” or “Wealth”) - (TSXV: WML; OTCQB: WMLLF; SSE: WMLCL; Frankfurt: EJZ),
announces that it has amended the terms of the non-brokered private placement announced on
December 19, 2016 (the “Placement”) to increase the number of securities being offered
thereunder from up to 909,090 common shares of the Company at a price of $1.10 per share for
gross proceeds of up to $1 million to up to 2 million common shares of the Company at a price of
$1.00 per share for gross proceeds of up to $2 m illion. In connection with the Placement, the
Company has also proposed to settle $1 million in outstanding debt (the “Debt Settlement”). The
Debt Settlement is proposed to be effected by the issuance of up to 1 million common shares of
the Company at a price of $1.00 per share. All sh ares issued in the Placement and the Debt
Settlement will have a hold period in Canada of four months and one day from the date of issuance
thereof. Finder’s fees are payable on a portion of the Placement.
The net proceeds from the Placement are intended to be used to fund the Laguna Verde payments
and for general and administrative expenses and working capital.
Completion of the Placement and the Debt Settl ement and the payment of finder's fees in
connection with the Placement are subject to the acceptance for filing thereof by the TSX Venture
Exchange (the “TSX-V”).
