, it acquired 4,697,000 common shares ("
Common Shares
") of
Wallbridge Mining Company Limited ("
Wallbridge

Issuer
") through the exercise of warrants
(the "
Warrants
") at an exercise price of
$0.12
per Warrant for total consideration of
$536,640
and
on
May 2, 2019
, it acquired 7,025,050 Common Shares of the Issuer at an exercise price of
$0.10
per Warrant for total consideration of
$702,505
(the "
Acquisition
").
William Day
no longer holds any
warrants of the Issuer.
The Acquisition represents approximately 2.34% of the issued and outstanding Common Shares of
the Issuer post exercise. Prior to the Acquisition,
William Day
owned 54,304,907 Common Shares of
the Issuer representing approximately 12.82% of the issued and outstanding Common Shares of the
Issuer. Following the Acquisition,
William Day
owns 66,026,957 Common Shares of the Issuer
representing approximately 15.16% of the issued and outstanding Common Shares of the Issuer.

has acquired the Common Shares of the Issuer for investment purposes and
