Vancouver, Canada, August 18, 2025 – Spartan Metals Corp. (“Spartan” or the “Company”) (TSX-V: W) is

pleased to announce a non-brokered private placement (the “Private Placement”) to raise gross proceeds

of up to $2,250,000 through the sale of up to 7,500,000 units (the “Units”) at the price of $0.30 per Unit.

Each Unit consists of one common share (a “Share”) of the Company and one-half of one non-transferable

share purchase warrant (each a whole warrant a “Warrant”). Each Warrant entitles the holder to purchase

one additional Share of the Company at a price of $0.45 per share for a period of 18 months from the date

of issue.

Certain insiders of the Company may acquire securities under the Private Placement. Any such

participation would be considered to be a “related party transaction” as defined under Multilateral

Instrument 61-101 (“MI 61-101”). The transaction will be exempt from the formal valuation and minority

shareholder approval requirements of MI 61-101 as neither the fair market value of any shares issued to

or the consideration paid by such persons will exceed 25% of the Company's market capitalization.

The Company may pay finders fees of 6% in connection with the Private Placement in cash and warrants

(“Finder Warrant”). Each Finder Warrant will entitle the holder to acquire one additional common share

in the capital of the Company at a price of $0.45 for 18 months from closing. All securities to be issued in

the Private Placement will be subject to a four month plus one day hold period from the closing date under

applicable securities laws in Canada. The Company anticipates closing of the private placement as soon

as practicable and is subject to TSX Venture Exchange approval.

The proceeds from the sale of the Private Placement will be used to further advance the Company’s

Tungstonia Project in Nevada (see news release of August 7, 2024) and for general working capital.

This news release does not constitute an offer to sell or solicitation of an offer to sell any securities in

the United States. The securities have not been and will not be registered under the United States

Securities Act of 1933, as amended (the “U.S. Securities Act”) or any state securities laws and may not

be offered or sold within the United States or to U.S. Persons unless registered under the U.S. Securities

Act and applicable state securities laws or an exemption from such registration is available.
