Resource Capital Fund VI L.P.

Announces Acquisition of Units in VR Resources Ltd.

March 19, 2018, Denver, Colorado. Resource Capital Fund VI L.P. (“ RCF”) reports that on March 16,

2018, it acquired 2,000,000 units (the “ Units”) of VR Resources Ltd. (the “ Company”) pursuant to a

non-brokered private placement (the “ Private Placement ”). RCF acquired the Units at a price of

CDN$0.25 per Unit for a total purchase price of CDN $500,000. Each Unit consists of one common share

of the Company (the “ Common Shares”) and one-half of one warrant to acquire a Common Share (the

“Warrants”). Each Warrant is exercisable for a period of two years following closing of the Private

Placement at a price of CDN$0.40.

Prior to the Private Placement, RCF owned and controlled a total of (i) 2,882,364 Common Shares

representing approximately 7.98% of the issued and outstanding Common Shares and (ii) 691,182

Warrants. Assuming exercise of all of the Warrants held by RCF, an aggregate of 3,573,546 Common

Shares would be owned by RCF prior to the Privat e Placement, representing approximately 9.71% of the

Company’s issued and outstanding Common Shares.

Immediately following the Private Placement, RCF owned a total of (i) 4,882,364 Common Shares

representing approximately 11.06% of the Company’s issued and outstanding common shares and (ii)

1,691,182 Warrants. Assuming exercise of all of the Warrants held by RCF, an aggregate of 6,573,546

Common Shares would be owned by RCF, representing approximately 14.34% of the Company’s issued

and outstanding Common Shares.

RCF acquired the Units for investment purposes. RCF may from time to time acquire additional

securities, dispose of some or all of the existing or additional securities or may continue to hold the

securities of the Company.
