prospective subscribers, the Company has upsized its previously announced non-brokered private
placement (the "
Offering
") to up to 33,000,000 units of the Company ("

") at a price of

per Unit to raise aggregate gross proceeds of up to approximately
$3,300,000
. The Company has
already closed
$1,377,798
as previously announced on
March 13
and
March 24, 2023
.
The other terms of the Offering initially announced on
March 9, 2023
, by the Company remain
unchanged. The closing of the Offering, anticipated to be on or about
April 20, 2023
, remains subject
to certain conditions, including the approval of the TSX Venture Exchange (the "
