Extension and Increase of Private Placement
Calgary, Alberta--(Newsfile Corp. - May 30, 2025) - Volt Carbon Technologies Inc. (TSXV: VCT)
(OTCQB: TORVF) (“Volt Carbon” or the “Company”) with reference to its prior news releases dated April
14, 2025, and May 22, 2025, is pleased to announce that it has obtained approval from the TSX Venture
Exchange ("TSX-V") to increase the size of its non-brokered private placement to 17,500,000 units (the
"Units") at a price of $0.02 per Unit, for gross proceeds of up to $350,000. The Company has also
received approval to extend the deadline for the final closing of the private placement to June 27, 2025.
Each Unit consists of one common share and one common share purchase warrant. The closing of the
Offering remains subject to customary conditions and regulatory approvals, including the final approval of
the TSX-V. At this time there are no anticipated Finder’s Fee associated with the Offering.
The Company intends to use the proceeds of the Offering to advance its battery and mineral separation
technologies, pay outstanding payables, and for general working capital purposes.
