American Pacific Mining Announces Non‐Brokered Financing
VANCOUVER—July 22, 2019—American Pacific Mining Corp (CSE: USGD / FWB: 1QC / OTCPK: USGDF) (“APM” or
the “Company”) is pleased to announce a non‐brokered private placement through the issuance of up to
6,500,000 units at $0.10 per unit for gross proceeds of $650,000 (all figures in $CAD). The financing is anticipated
to close next week.
Each unit will consist of one common share of the Company and one‐half of a common share purchase warrant.
Each whole warrant will entitle the holder to purchase one additional common share of the Company at an
exercise price of $0.20 for a period of 12 months from the date of closing, subject to earlier expiry of the exercise
period if, at any time, the closing price of the Company’s common shares is greater than $0.25 for five or more
consecutive trading days.
The Company intends to use the proceeds from the private placement for legal, exploration of the Company’s
portfolio of resource properties and for general working capital. Finder's fees of 4% cash and 4% warrants may be
paid in compliance with exchange and applicable securities law. All securities issued in connection with the
private placement will be subject to a four month hold period under applicable provincial securities laws in
Canada.
