American Pacific Mining Announces Non-Brokered Financing
VANCOUVER—January 25, 2019—American Pacific Mining Corp (CSE: USGD / FWB: 1QC / OTCPK: USGDF) (“APM”
or the “Company”) is pleased to announce a non -brokered private placement through the issuance of up to
10,000,000 units at $0.10 per unit for gross proceeds of $1 million (all figures in $CAD).
Each unit will consist of one com mon share of the company and one -half of a warrant. Each whole warrant will
entitle the holder to purchase one additional common share of the Company at an exercise price of $0.20 for a
period of 12 months fr om the closing, subject to earlier expiry of the exercise period if, at any time after four
months from closing, the closing price of the shares is greater than $0.25 for five or more consecutive trading days.
The Company intends to use the proceeds from the private placement for exploration on the Tuscarora Gold Project
and for general working capital. Finder's fees of 7% cash and 7% warrants may be paid in compliance with exchange
and applicable securities law. All securities issued in connection with the private placement will be subject to a four
month hold period under applicable provincial securities laws in Canada.
