Total Metals Corp. Changes Year-End
NEWS RELEASE
TOTAL METALS CORP. CHANGES YEAR-END
Vancouver, BC, August 25, 2025 – Total Metals Corp. (“Total” or the “Company”) (TSX-V: TT) has filed
the required notice to change its financial year end from December 31 to April 30, in accordance
with the requirements of National Instrument 51 -102 Continuous Disclosure Obligations (“ NI 51 -
102”).
On August 14, 2025, the Company completed the acquisition of all issued and outstanding shares
of Compton Mining Corp. (“Compton” or the “Accounting Acquiror”) pursuant to a Business
Combination Agreement dated March 26, 2025 (the “Transaction”). As a result of the Transaction,
Compton became a wholly-owned subsidiary of the Company. The Transaction constituted a reverse
take-over of the Company by Compton for accounting purposes. Accordingly, the Company intends
to change its fiscal year end from December 31 to April 30 to align with the year end of the Accounting
Acquiror. Management has determined that adopting an April 30 year end is in the best interests of
the Company.
As a result of this change, the Company will have a transitional 12-month financial year ending April
30, 2026. Further details regarding the change in financial year, including the Company’s interim
reporting periods, will be available in the Company’s Notice of Change of Financial Year -End
prepared in accordance with section 4.8 of NI 51 -102, which will be filed on the Company’s profile
on SEDAR at www.sedarplus.ca.
