TRES-OR EXTENDS PROPOSED FINANCING CLOSING

Vancouver, B.C. – June 19, 2015 - Tres-Or Resources Ltd. (“Tres-Or”) (TSX-V: TRS) is extending a proposed private placement announced May 1, 2015 (see news release dated May 1, 2015) to raise up to $500,000 by the issuance of up to 20,000,000 units at a price of $0.025 per unit pursuant to a discretionary waiver of the $0.05 minimum pricing requirement granted by the TSX Venture Exchange (the “Offering”). Each unit will be comprised of one common share and one warrant exercisable for 2 years at a price of $0.05 in the first year and $0.10 in the second year. Approximately $60,000 of the proceeds from the Offering will be used to pay outstanding accounts payable, which includes approximately $20,000 due to related parties. A further approximately $180,000 will be used for property payments, and the balance will be used for general working capital.

The Offering will be conducted under available exemptions from the prospectus requirements of applicable securities legislation and participation in the Offering will be available to existing shareholders in qualifying jurisdictions in Canada in accordance with the provisions of Multilateral CSA Notice 45‐313 and BC Instrument 45‐354 (the “Existing Shareholder Exemption”).

The financing is subject to TSX Venture Exchange approval. It is anticipated that the Offering will close on or about July 15, 2015.
