TRES-OR ANNOUNCES REPLACEMENT FINANCING

Vancouver, B.C. – April 1, 2016 - Tres-Or Resources Ltd. (“Tres-Or”) (TSX-V: TRS) has been advised by the TSX Venture Exchange that the time to close the proposed private placement described in the Company’s news releases dated November 25, 2015 and February 11, 2016 has expired. In its place the Company announces a new private placement (the “Offering”) to raise up to $200,000 by the issuance of up to 8,000,000 units at a price of $0.025 per unit (subject to the TSX Venture granting a discretionary waiver of the $0.05 minimum pricing requirement). Each unit will be comprised of one common share and one warrant exercisable for 2 years at a price of $0.05 in the first year and $0.10 in the second year. Approximately $60,000 of the proceeds from the Offering will be used to pay outstanding accounts payable, which includes approximately $20,000 due to related parties. A further approximately $100,000 will be used for property payments, and the balance will be used for general working capital.

The Offering will be conducted under available exemptions from the prospectus requirements of applicable securities legislation and participation in the Offering will be available to existing shareholders in qualifying jurisdictions in Canada in accordance with the provisions of Multilateral CSA Notice 45‐313 and BC Instrument 45‐354 (the “Existing Shareholder Exemption”).

The Offering is subject to the acceptance of the TSX Venture Exchange. It is anticipated that the Offering will close on or before April 18, 2016.
