PRIVATE PLACEMENT

Tres-Or Resources Ltd. (the “Company”) is pleased to announce that, subject to the acceptance of the TSX Venture Exchange, it has raised $650,000 through the sale of 4,333,334 units on a private placement basis at a price of $0.15 per unit. Each unit is comprised of one common share and one share purchase warrant entitling the holder to acquire a further common share at a price of $0.22 for a term of 18 months.

Proceeds from the private placement will be used to advance the Company’s exploration projects and for general working capital.
