True North Gems Inc. changes auditor to Saturna

Vancouver – January 26, 2022 – True North Gems Inc. (TGX: TSX -V) (the “Company”) reports that , on

January 18, 2022 , at the request of the Company and its audit committee, Pricewaterhouse Coopers LLP

(“PwC”) resigned as auditor of the Company and the board of directors of the Company appointed Saturna

Group Chartered Professional Accountants LLP (“Saturna”) as its new auditor until the close of the Company's

next annual meeting.

There were no reservations in the PwC reports for True North Gems Inc.'s two most recently completed fiscal

years or for any period subsequent to the most recently completed period for which an audit report was issued

and preceding the date of the former auditor's resignation. There were no reportable events between the

Company and PwC, the former auditor. The Company and the board of directors extend their appreciation to

PwC for its auditing services to date.

Pursuant to National Instrument 51- 102 -- Continuous Disclosure Obligations, the Notice of Change of

Auditor, together with the letter from the former auditor and the letter from Saturna Group Chartered

Professional Accountants LLP, the successor auditor, have been reviewed by the Company's audit committee

and board of directors and will be filed on SEDAR accordingly.
