True North Gems Closes Non-Brokered Private placement
Vancouver – February 21 , 2019 – True North Gems Inc. (TGX: TSX -V) (“True North” or the
“Company”) announces today that it has closed a placement for proceeds of $750,000 by issuing
10,000,000 units at $0.0 75. Each unit is comprised of one common share in the capital of the
Company and one whole warrant to acquire a common share at an exercise price of $0. 10 cents per
common share for a period of 36 months from the date of issuance. Commissions of $2,685 was paid
in connection with this placement.
The net proceeds from the offering will be used for working capital , general corporate and resource
exploration purposes. All securities issued under the offering, including the common shares
underlying the warrants, are subject to a statutory four-month hold period from the date of issue.
