True North Gems announces effective date of Consolidation
and Receipt of Subscriptions of Placement
Vancouver – February 12, 2019 – True North Gems Inc. (TGX: TSX- V) (“True North” “ TGX” or the “Company”)
reports that it anticipates effecting a consolidation of its capital, as approved by its shareholders on Jnuary 21, 2019, on a
ten (10) old shares for one (1) new share basis, effective February 14, 2019. The Company’s outstanding capital following
the consolidation, is expected to be approximately 3,577,354 common shares.
The Company reports that it has received private placement subscriptions for an aggregate of 10,000,000 U nits of the
Company at a price of $0.075. Each unit is co mprised of one post -consolidation common share and one warrant
exercisable at $0.10 for a period of 3 years to acquire an additional post- consolidation common share. The financing i s
expected to close on February 14, 2019. The private placement remains subject to regulatory approval.
