Vancouver, BC – September 03, 2024 – Further to the Company’s News Release of

July 19, 2024, TGX Energy & Resources Inc. (TSXV: TGX, the "Company") has not

proceeded with Private Placement announced therein and the filing has been withdrawn

from the TSX Venture Exchange.
