Toogood Announces Private Placement

Vancouver, British Columbia--(Newsfile Corp. - October 9, 2025) - Toogood Gold Corp. (TSXV: TGC)

") today announced a non-brokered private placement to

raise gross proceeds of up to C$2,000,000 through the issuance of 6,666,666 Units (the "Units") at a

price of C$0.30 per Unit (the "Offering").

Each Unit will be comprised of one common share (a "Share") and one half of one common share

purchase warrant (each whole warrant, a "Warrant"). Each Warrant will be exercisable at a price of

C$0.45 into one common share for a period of two years from the date of issuance.

Toogood intends to use the proceeds of the Offering for working capital and ongoing and future

exploration programs at the Company's flagship Toogood Gold Project, located on New World Island,

Newfoundland.

The Offering is expected to close on or about October 22, 2025, and is subject to certain closing

conditions including, but not limited to, the receipt of all necessary approvals including the conditional

approval of the TSX Venture Exchange. The Company may, in its sole discretion, exercise an over-

allotment option pursuant to which it may increase the size of the Offering to up to 10,000,000 Units for

aggregate proceeds of up to C$3,000,000.

The Company may pay finders' fees under the Offering in accordance with applicable securities laws

and the policies of the TSX Venture Exchange. The securities issued under the Offering will be subject to

a hold period under applicable securities laws in Canada expiring four months and one day from the

closing date of the Offering.
