New Global to Acquire El Tesoro Mine in Colombia

Mergers & Acquisitions Property Options & Staking

Thursday May 13, 2010 - Vancouver, British Columbia (NNG.TSXV). New Global Ventures International Ltd. (the “Company”) is pleased to announce that it has entered into a binding Letter of Intent to acquire a 100% interest in the El Tesoro Gold Mine, from Global Mining S.A.S., a private Colombian company. The El Tesoro Mine is located in the Northeast Department of Antioquia, Colombia. The project is comprised of 622 hectares and is located in the Puerto Berrio Mining District, adjacent to concessions owned by AngloGold Ashanti, Mineros S.A. and the Minas el Vapor Gold Mine which has been operating for over 80 years.

El Tesoro is located approximately 20 kms from the Gramolate Gold Deposit, which is a joint venture between B2Gold (TSX: BTO) and AngloGold Ashanti (NYSE: AU). In January 2009, B2Gold announced a National Instrument 43-101 compliant inferred mineral resource estimate for the Gramalote Ridge Zone of 74.375 million tonnes grading 1.00 g/t Au for a total of 2.39 million troy ounces of gold.

The property is located on the Palestina Fault Zone, which extends from the department of Pasto in southern Colombia to Cordoba in northern Colombia, and is spatially associated with major mining districts throughout its length. At the project area, the fault zone is believed to have localized the intrusive bodies which produced the mineralization. El Tesoro hosts a total of 10 tunnels in which there is currently artisanal mining occurring on the property. The project has an elevation below 1,000 meters and is therefore unaffected by Law 1382 of 2010, restricting mining above 3,200 meters

At the center of the El Tesoro license in the contact zone between the metamorphic body and the igneous rock gold veins are embedded diorite rocks of the Segovias batholiths, consisting of white quartz, poor in sulfides and with free gold, which are part of the mining area known as the Vapor.

A reconnaissance sampling program completed in 2009 on only 3 of the 10 tunnels returned significant gold and silver values in 3 of the known veins ranging from 1.5 to 8.5 g/t gold, and 5.5 to 6.5 g/ton silver.

The Company will complete a project reconnaissance and sampling program in the immediate future. The intent of the program will be to confirm known areas of mineralization and to identify any possible areas of disseminated mineralization. Results will be used to complete a NI 43-101 report on the project.

“We continue to believe in the thesis that Colombia is under-explored,” said Mr. Mark Lawson, New Global Ventures International Ltd. President and CEO. “The El Tesoro Mine offers New Global a sizeable project with direct road access, within a prolific mining district, with known gold and silver mineralization and the potential for bulk tonnage mining”.

Terms for the acquisition are:

  • 30 day due diligence by the Company, to complete a site visit, undertake a sampling program, and complete the framework for a formal agreement.
  • Upon completion of due diligence, and the recovery of title by the owner, payment of $ 300,000.
  • Upon TSX acceptance of 43-101, payment of $300,000 and the issuance of 3,000,000 common shares of the Company, subject to the escrow provisions of the TSX Venture Exchange.
  • Upon issuance of relevant environmental permits, further 3,000,000 shares to Global Mining S.A.S., and $200,000.
  • Anniversary payments of $100,000 12 months after receiving the necessary environmental permits, $100,000 24 months after receiving the necessary environmental permits.
  • If upon review of the National Instrument 43-101, New Global Ventures and Global Mining S.A.S. do not mutually agree on and accept the technical merits of El Tesoro, then Global Mining S.A.S. and New Global Ventures has the option to terminate this agreement. If the agreement is terminated, then all funds paid to Global Mining S.A.S. will be returned to New Global Ventures.
  • The owner will also receive a bonus of 500,000 shares if confirmed at El Tesoro 500,000 Troy Ounces of gold “mineral resources” in the categories of "measured", "indicated" and "inferred" (as such terms are defined in section 1.2 of NI 43-101).
  • An additional 500,000 common shares would be issued to Global Mining S.A.S. for an aggregate amount of 1,000,000 common shares if confirmed at El Tesoro 1,000,000 Troy Ounces of gold "mineral resources" in the categories of "measured", "indicated" and "inferred" (as such terms are defined in section 1.2 of NI 43-101).
  • In accordance with regulatory policies, the Company will pay a finder’s fee on the proposed acquisition.
