placement of 739,437 common shares ("
Common Shares
") at a price of
$1.42
per Common Share,
for aggregate gross proceeds of approximately
$1,050,000

Offering
").

The proceeds from the Offering will be used to fund advancement of the Company's mineral
exploration project and for general working capital purposes. The Company anticipates the Offering
will close in
October 2025
. Closing of the Offering is subject to certain conditions including, but not
limited to, receipt of approval of the TSX Venture Exchange. The Company does not intend to pay
any finder's fees or commissions in connection with the Offering.
All Common Shares issued pursuant to the Offering will be subject to a statutory hold period of four
months and one day from the date of closing, in accordance with applicable Canadian securities
legislation.
