Gunnar Pedersen files Early Warning Report for Rover Critical Minerals Corp.

FOR IMMEDIATE RELEASE

May 22, 2024 – Gunnar Pedersen announces that he acquired a total of 10,000,000 units of Rover Critical

Minerals Corp. (the “Company”) at a price of $0.03 per unit pursuant to a private placement undertaken

by the Company (the “Private Placement”). The purchaser under the Private Placement was an account

at Wealins S.A., an account controlled by Mr. Pedersen and the aggregate purchase price was $300,000.

Prior to the Private Placement, Mr. Pedersen beneficially owned and/or controlled, directly or indirectly,

an aggregate of 3,750,000 common shares in the capital of the Company (the “ Common Shares ”),

3,750,000 Common share purchase warrants (the “Warrants”) and 500,000 stock options (the “Options”).

Each of the Warrants and the Options are exercisable into one (1) additional Common Share. Subsequent

to the completion of the Private Placement, Mr. Pedersen beneficially owns and/or controls, directly or

indirectly, an aggregate of 13,750,000 Common Shares, 13,750,000 Warrants and 500,000 Options . Mr.

Pedersen’s warrant certificates have legends such that he undertakes not to become a control person by

way of the exercise of his warrants.

The securities were acquired by Mr. Pedersen for investment purposes. Mr. Pedersen intends to review

his investment in the Issuer on a continuing basis. Presently, he has no intention of acquiring any further

securities of the Issuer or disposing of any of his securities. Mr. Pedersen may acquire or dispose of

securities in the future depending upon market circumstances and other considerations. The Company’s
