STEM 7 CAPITAL ANNOUNCES TERMINATION OF GETCARBIDS INC.

TRANSACTION

January 5, 2017- Vancouver, B.C. - Stem 7 Capital Inc. (TSXV.NEX:STS.H,

Frankfurt: T9NB)(the “Company”) reports that by mutual agreement, the

agreement for acquisition of GetCarbids Inc. previously announced on

September 6, 2016, has been terminated. Stem 7 Capital is current in all its

regulatory filings and will continue to source appropriate business or ventures

that have the potential to create shareholder value. The TSX Venture Exchange

has advised that the common shares of the Company will recommence trading

on the NEX at the open of market on January 9, 2017.
