South Star Mining Announces Increased Non-Brokered Private Placement

Toronto, ON, February 04, 2021 – South Star Mining Corp. (‘South Star’ or ‘the Company’) (TSX-V:

STS) (OTC: STSBF) today announces that due to investor demand, it intends to increase the size of the

non-brokered private placement of Units (the “Private Placement ”) by C$200.000 to a total raise amount

of C$1,500,000.

The Private Placement will consist of 15,000,000 Units priced a t C$0.10 per unit (the “Units”). Each Unit

will consist of one (1) common share and one (1) common share p urchase warrant (the “Warrants”). Each

Warrant will entitle the holder to purchase one additional comm on share of the Company at an exercise

price of C$0.15 per common share for a period of 3 years from t he date of issue. The securities will be

subject to a four month hold period from the date of closing an d approval by the TSX Venture Exchange.
