STEM 7 CAPITAL SIGNS LETTER OF INTENT TO ACQUIRE ARIZONA PROPERTIES

May 1, 2014 – Vancouver, BC – STEM 7 Capital Inc. (formerly Canada Gold Corp., TSX.V: CI, Frankfurt: T9NB, OTC-BB: CNGZF) (the “Company”) announces that it has signed a letter of intent to acquire a 100% interest in 27 unpatented mineral claims comprising 493.4 acres situated approximately (120km’s) (75 miles) Northwest of Phoenix, Arizona in the Bradshaw, Weaver Mountain Range in Yavapai County from a consortium represented by Pacific Empire Venture Ltd., of Vancouver, British Columbia.

These contiguous claims cover in part the largest combined land package in the legendary Rich Hill Weaver Mountain gold district, located 90 minutes drive from Phoenix, Arizona and are easily accessible by secondary roads from the main highway with a power transmission line passing within one kilometer of the property.

These claims are adjacent and bordering to the patented land that includes the historically rich Octave, Joker and Beehive gold mining district within a northwestward trending shear zone that intersects the continuation of the Octave vein system, all of which produced high grade gold and silver from quartz veins. These rocks are distinguishable by their dark greenish-black to gray color and fine grained mineral characteristics commonly referred to the greenstone belts in the Yavapai Metamorphics. The Mesozoic or early Tertiary veins have yielded more than $18,000,000 worth of gold and are representative of this type of geology such as Congress, Octave, Humbug, Pine Grove or Crown King, and Walker veins, and most of the deposits in the Eureka, Hassayampa, Groom Creek, Bigbug, and Black Canyon districts. (Bulletin 137, 1967 by Eldred D. Wilson, J. B. Cunningham, and G. M. Butler of the Arizona Bureau of Geology and Mineral Technology Geological Survey Branch).

On October 8, 1942 all mining operations were shut down, not by lack of minerals, rather the War Production Board issuing a Limitation Order L-2084 closing the mines.

Past production in the octave mine was enabled by a forty stamp Mill, using a combination of mercury amalgamation, table concentrators and cyanidation was built in 1900 powered by two oil-fired boilers that provided the steam to power the mining and mill equipment. During the years 1900-1905 the Octave lode was mined to a depth of over 2000 feet along the dip of the vein, and 2000 feet along the strike. Chris Ralph (Mining Engineer) in the ICMJ article reported that between 1934-1942 when ASARCO was mining the Octave complex another 100,000 ounces of gold were produced. The amount of silver recovered was roughly equal to gold recovered. ASARCO was shut down by the War Production Board Order - not by lack of mineable ore. Total gold production reported between 1895-1942 was at approximately 306,000 ounces. After 1942 limited production was reported.

During the years 1919-1922 the Joker Shaft produced gold values of up to 100 ounces per ton in the galena ore, 8 - 25 ounces per ton in the abundant pyrites and 3.5 - 7 ounces per ton in the Chalcopyrite ores were stated by Mining Engineer M.E.Pratt (Arizona Bureau of Mines, Bulletin 137) with an average of one ounce of gold and one ounce of silver per ton of ore mined. Although final production figures are missing, mining geologist J. Nelson Nevius reported mining over 25,000 ounces of gold from the New York Stope in the Joker Shaft during that three year period. (Erik B. Melchiorre PHD Rich Hill The History of Arizona’s Most amazing gold district).

This historic data is provided for reference only and does not imply or suggest that the property contains commercial quantities of gold or other metals.

Numerous vein structures, fault lines, abandoned shafts and historic workings have been observed on the 27 mineral claims but no modern and systematic exploration has been conducted on these claims. In the immediate future, Stem 7 Capital has contracted an independent, qualified geologist to review the historical data, map and sample the claims and to recommend a program worthy of a systematic exploration on the properties.

The terms of the acquisition from the consortium consists of the issuance of 1,500,000 common shares on approval of the relevant regulatory authorities, 1,500,000 common shares on the 6 month anniversary of the initial closing and an additional 2,000,000 common shares on the 9 month anniversary of the initial closing. In addition, a cash payment of CDN $50,000 is payable on the 9 month anniversary. The vendor(s) have been granted a 1% net smelter royalty of which 50% of this royalty can be purchased by Stem 7 for CDN $500,000 on or before the 24 month anniversary of the initial closing. Pacific Empire has also agreed to grant to the Company an exclusive 3 mile exclusion zone around the above mentioned contiguous claims. Pacific Empire and its’ designates grant to the Company the first right of refusal to purchase any or all claims within this exclusion zone at their cost, upon written notification. Stem 7 Capital will have this exclusive right for 60 days from receipt of notice to purchase these additional claims or waive its rights.

The above acquisition is considered a fundamental acquisition for the company and as such, a geological report will be required, including a proposed work program. This report is anticipated to be available approximately the third week of May 2014, and subject to TSXV Exchange approval, the company anticipates closing the transaction late May/early June.

The technical aspects of this release have been reviewed by Mr. Wes Raven, P. Geo, a qualified person as described under National Policy NI 43-101.
