Spanish Mountain Announces Non‐brokered Private Placement 

VANCOUVER,  B.C. ‐  Spanish  Mountain  Gold  Ltd.  (the  “Company”)  (TSX‐V:  SPA)  announces  a 

non‐brokered  private  placement  offering  (the  “Offering”)  to  raise  up  to  $500,000  through  the 

issuance of up to 6,250,000 of common share units (the “Units”). 

Each Unit will be sold at a price of $0.08 per Unit and will consist of one common share of the 

Company and one common share purchase warrant (a “Warrant”).  Each Warrant will entitle its 

holder to purchase one common share at a price of $0.12 per share for a period of two years 

following the closing of the Offering.  

All securities issued in connection with the Offering will be subject to a four month hold period 

in  Canada.  Closing  of  the  Offering,  which  is  expected  to  occur  on  or  about  July  31,  2019,  is 

subject to customary conditions, including the acceptance of the TSX Venture Exchange. 

The  entire  proceeds  of  the  private  placement  will  be  used  to  advance  the  Company’s  Spanish 

Mountain gold project. 

Certain insiders of the Company will be subscribing to the Units in connection with the private 

placement. Any such  participation is  considered  to be a "related  party transaction" as defined 

under  Multilateral  Instrument  61‐101  ("MI  61‐101").   The  transaction  will  be  exempt  from  the 

formal valuation and minority shareholder approval requirements of MI 61‐101 as neither the 

fair  market  value  of  any  securities  issued  to  nor  the  consideration  paid  by  such  persons  will 

exceed 25% of the Company's market capitalization.
