Sitka Gold Announces $1,000,000 Private Placement Financing

VANCOUVER, CANADA – July 03 , 2020 : Sitka Gold Corp. (“Sitka” or the “Compan y”)

(CSE:SIG) (FSE: 1RF) is please d to announce that it intends to complete a non -brokered private

placement whereby purchasers, will subscribe for approximately 5,000,000 flow -through units at a

price of $0.20 per unit (the “Flow-Through Units”) for gross proceeds of approximately $1,000,000 (the

“Offering”).

Each Flow-Through Unit will consist of one flow-through common share of the Company and one -half

of one non flow -through common share purchase warrant (the “Warrants”). Each whole Warrant will

entitle the holder to purchase one additional common share of the Company at a price of $0.22 for a

period of 36 months from the date of closing of the Offering. The Offering is expected to close on or

about July 23, 2020.

The proceeds raised from the F low-Through Units will be spent on exploration that will qualify as

Canadian exploration expenses (CEE) and flow -through mining expenditures for purposes of the

Income Tax Act (Canada). The company intends to use the proceeds from the Offering for exploration

work on its Yukon gold properties.

In connection with the Private Placement, the Company may pay a finders’ fee in accordance with the

rules and policies of the Canadian Securities Exchange. The Private Placement remains subject to

regulatory approval.
