Solstice Announces $1.5 Million Flow-Through Financing
VANCOUVER, British Columbia, December 23, 2021 - Solstice Gold Corp. (TSXV: SGC) (“ Solstice”, “we”,
“our” or the “Company”) is pleased to announce that it intends to complete a flow-through financing by
way of a non-brokered private placement for aggregate proceeds of approximately $1.5 million subject to
increase at the discretion of the board of directors of the Company (the “Offering”). The Offering will
consist of up to 6,521,739 common shares of the Company (the “ Flow-Through Shares”) that qualify as
flow-through shares for purposes of the Income Tax Act (Canada) at a price of $0. 23 per Flow-Through
Share.
The gross proceeds raised from the Offering will be used by the Compa ny to fund exploration programs
that qualify as “Canadian Exploration Expenses” and “flow-through mining expenditures”, as those terms
are defined in the Income Tax Act (Canada) at the Company’s mining projects in Ontario.
The closing of the Offering is expected to occur on or before December 31, 2021 (the “Closing Date”) and
is subject to receipt of all applicable regulatory approvals, including the approval of the TSX Venture
Exchange (the “TSXV”). The Flow-Through Shares will be offered by way of privat e placement in Ontario
and such other provinces and territories of Canada and other jurisdictions as determined by the board of
directors of the Company . The Flow-Through Shares to be issued under the Offering will be subject to a
statutory hold period of four months and one day from the Closing Date.
