Tranche of Private Placement Financing

Vancouver, British Columbia, September 23th, 2019 - Searchlight Resources Inc. (“Searchlight”

or the “Company”) (TSX-V: SCLT) is pleased to announce that it has closed the first tranche of a

private placement financing previously announced on August 8, 201 9 by issuing a total of

4,790,000 units ("Units") for gross proceeds of $239,500.

The first tranche of the private placement consisted of 2,790,000 units at $.05 per unit for gross

proceeds of $139,500, with each unit consisting of one common share and one common share

purchase warrant exercisable at $0.05 for a period of twenty four months from the date of issue.

In addition, 2,000,000 flow through units were issued at $0.05 for gross proceeds of $100,0 00

with each unit consisting of one common share and one half share purchase warrant. Each whole

share purchase warrant is exercisable at $0.05 for a period of twenty four months from the date

of issue.

The securities issued under the financing will be subject to a hold period expiring on January 19,

2020 pursuant to applicable Canadian securities laws and the rules of the TSX Venture Exchange.

The proceeds of the financing will be used for exploration of its mineral properties and general

working capital purposes. The private placement remains open and a second closing is expected.
