VANCOUVER, BC — September 9, 2026 — Regency Silver Corp. (“Regency Silver” or the “Company”)
(TSXV: RSMX) (OTCQB: RSMXF) (Frankfurt: ZJ90) by way of a binding agreement dated September 8, 2026,
has agreed to acquire a 100% interest in the Jabali Gold Project, which contains the historic La Dura gold
mine, located in the Mulatos Mining District, Sonora, México , by acquiring all of the shares of Tarachi
Gold S.A. de C.V. The acquisition adds approximately 569 hectares of mineral concessions situated
approximately 6 kilometres west of Alamos Gold Inc.’s Mulatos mine , approximately 10 kilometres
southeast of Agnico Eagle’s La India mine and approximately 20km to the northeast of Regency’s Dios
Padre project.

Rationale for Transaction
La Dura is a past -producing underground gold mine. Drilling performed by previous owners Urastar and
by Tarachi Gold indicate the presence of high grade gold from surface to a depth of approximately 100m,
with the mineralized zone remaining open at depth. Drilling by Tarachi Gold in 2020 and 2021 included
selective assay results as high as 6.91 g/t gold over 63.4 metres and 7.26 g/t gold over 12 metres . See
Historical Drill Highlights below. Regency plans to put the mine back into production and enter into a toll
milling arrangement with a nearby mine. Regency is currently undertaking the studies required to cost
the capex and opex of such a restart. Regency is in the process of completing a NI 43-101 technical report
on the project. The deposit model is interpreted as a direct genetic analogue to the nearby Mulatos
deposit.

Transaction Summary
Under the terms of the agreement, Regency Silver will acquire a 100% undivided interest in the Jabali Gold
Project from the shareholders of Tarachi Gold for total consideration of : US$70,000 on execution of the
formal agreement: 20M Shares upon a toll milling agreement being reached on standard terms with a
nearby mine: the Shares will be subject to a voluntary pooling agreement that provides for their release
as to 5M Shares on Exchange acceptance and 5M Shares every 6 months thereafter: the payment of
US$1M 6 months from the date of commercial production and a further US$1M 12 months after that
payment: the payment of US$2M after the extraction of 50,000 ounces of gold equivalent from the
project: a 2 % NSR. No finder’s fees are payable. Closing of the transaction is subject to customary
conditions, including acceptance by the TSX Venture Exchange. It is not anticipated that shareholder

Why Did Regency Silver Acquire Jabali?
Regency Silver acquired Jabali for four reasons:
1. Past production with established high grade gold mineralization. La Dura is a past-producing high
grade gold mine with documented historic high -grade drilling. Regency is of the view that the
existing workings will make the La Dura mine easier to put back into production.
2. Proximity to a producing mine s. The property is 6 km west of Alamos Gold’s Mulatos operation,
and only 10 km southeast of Agnico Eagle’s La India mine.
3. Multi-generational drill database. The property carries assay data from four prior operators
(Ormonde Mining, Minera Real de Ángeles, Urastar, and Tarachi Gold), totalling more than 6,300
sample records and over 2,000 metres of recent diamond drilling.
4. Portfolio fit with Dios Padre. Jabali consolidates Regency’s Sonora exploration footprint within the
same Sierra Madre Occidental gold belt as the Company’s flagship Dios Padre project and the La
India project.

Metallurgy
Metallurgical test work performed in 2021 by a previous operator showed that the test samples
responded very well to leaching by cyanide. Test work performed by Bureau Veritas Metallurgical Division
showed gold extraction from baseline cyanide leaching at 40 wt.% solids in 1.0 g/L NaCN solution for 48
hours averaged 94.8%. Cyanide (as NaCN) consumption averaged 1.73 kg/t. In general, less than 0.5 kg/t
hydrated lime was required to maintain a slurry pH above 10.5 during leaching.
