Results of Annual General & Special Meeting of

Shareholders

Resouro Strategic Metals Inc. (ASX: RAU; TSX-V: RSM; FSE: 8TX; OTCQB: RSGOF) (“Resouro” or the

“Company”) advises that in compliance with NI 51-102, Continuous Disclosure Obligations, section

11.3, the report of Voting results from the Company’s Annual General & Special Meeting of

Shareholders held on March 26, 2026 are reported in this press release. Voting results for each

resolution are based on the poll conducted at the meeting and include votes submitted prior to the

meeting by proxy.

All resolutions were carried in favour following voting via a poll including the following special

resolutions:

1. To approve additional placement capacity pursuant to ASX Listing Rule 7.1A;

2. To ratify the prior issue of common stock placement shares pursuant to ASX Listing Rule 7.4;

3. To ratify the prior issue of placement warrants pursuant to ASX Listing Rule 7.4.

In accordance with the ASX Listing Rule 3.13.2, full particulars of the proxies received prior to the

meeting which include results of the poll have been received from the Company’s Canadian share

registry, Computershare, and are presented in the table below.

About Resouro

Resouro is a Canadian incorporated mineral exploration and development company, listed on the ASX,

TSXV, OTC, and FSE, focused on the discovery and advancement of economic mineral projects in Brazil,

including the Tiros Titanium-Rare Earths Project and the Novo Mundo Gold Project. The Tiros project

has 28 mineral concessions totalling 497 km2 located in the state of Minas Gerais, one of the best
