Rainy Mountain Announces Non-Brokered Private Placement
West Vancouver, British Columbia, November 7, 2017 –Rainy Mountain Royalty Corp. (the
“Company” or “Rainy Mountain” ) announces, subject to r egulatory approval, that it intends to
proceed with a flow through non-brokered private placement (the “FT Offering”) to raise up to
$250,000 by the issuance of 5 ,000,000 flow through units (the “FT Units”) at $0.0 5 per FT Unit.
Each FT Unit will consist of one flow through common share and one non-flow through share
purchase warrant, with each warrant entitling the holder to purchase an additional non -flow
through common share for a period of two years at an exercise price of $0.10.
With respect to the FT Offering , the Company may pay finders’ fees in the amoun t of 10%
(payable in cash or non -flow through units ), based on the sale of the FT Units purchased by
subscribers introduced to the Company by such finders.
The Company intends to use the proceeds from this private placement for furthering exploration
on its optioned gold exploration Brunswick property in Ontario.
