FREEDOM BATTERY METALS ANNOUNCES NON-BROKERED PRIVATE PLACEMENT OF UNITS
August 8, 2022 – Vancouver, B.C. – Freedom Battery Metals Inc. (CSE: FBAT) (the “Company”) is pleased
to announce its intention to carry out a non -brokered private placement of up to 9,523,809 units of the
Company (each, a “ Unit”) at $0.105 per Unit (the “ Offering”), for aggregate gross proceeds of up to
$1,000,000.
Each Unit will be composed of (1) common share (a “ Common Share”) of the Company, and one-half of
one (1/2) Common Share purchase warrant ( each whole warrant, a “ Warrant”). Each Warrant will be
exercisable at $0.15 per share for two (2) years from issuance.
The Company intends to use the net proceeds from the Offering for new property acquisitions, exploration
expenditures and general working capital.
On closing, the Company may pay a finder’s fee in respect of a portion of the Offering in accordance with
the policies of the Canadian Securities Exchange and applicable securities laws.
All securities issued in connection with the Offering will be subject to a four -month and one day hold
period under applicable securities laws.
The securities offered have not been registered under the U.S. Securities Act of 1933, as amended, and
may not be offered or sold in the United States absent registration or an applicable exemption from the
