Orex Announces Board and Management Changes

Management Changes

September 17, 2024: Vancouver, BC – Orex Minerals Inc. (TSX-V: REX – OTCQB: ORMNF) ("Orex" or the

"Company") announces that B.H. (Ben) Whiting has resigned as President, CEO and Director of the

Company effective immediately. Management wishes to thank Mr. Whiting for his years of service and for

continuing to act as an advisor to Orex’s Board of Directors (the “Board”).

The Company announces that the Board has received the resignation of director Art Freeze , effective

immediately. Art’s extensive background and senior level experience enabled the Company to advance its

strategic plan during his tenure. Management wishes to thank Mr. Freeze for his years of service and for

continuing to act as an advisor to Orex’s Board.

The Company also announces that it has granted an aggregate of 909,090 incentive stock options to

directors and officers, to purchase up to 909,090 common shares in the capital of Orex. The incentive

stock options have an exercise price of $0.22 per share, expire five years from the date of grant, and vest

immediately. As a result of this option grant, Orex has 1,661,590 stock options outstanding, representing

6.2% of the issued and outstanding share capital of the Company.
