January 14, 2025– Vancouver, BC – Rain City Resources Inc. (RAIN:CSE) (the “Company” or

“RAIN”) announces the resignation of Mr. Bryce Clark as the Company’s Chief Financial Officer effective

January 6, 2025. Mr. Clark resigned enabling the Company to transition financial accounting support

services to a Calgary-based firm in closer proximity to key management team members.

Mr. Ben Hill, CEO commented, “ We remain grateful to Mr Clark for the services he provided to the

Company and the professionalism with which he carried them out. The Company wishes him well with his

future endeavors as we continue to focus on our exciting transition into that of a Direct Lithium Extraction

(“DLE”) technology company.”

On January 10, 2025, the Company appointed Ms. Jacqueline Danforth as the Company’s Chief Financial

Officer. Ms. Danforth was previously appointed Corporate Secretary on December 15, 2024.

Over the past 30 years, Ms. Danforth, 52, has worked for both private and publicly traded companies

providing management services, accounting and audit support, and corporate governance programs. Ms.

Danforth has extensive experience working with corporations listed on both Canadian and US exchanges

participating in all aspects of public reporting, corporate governance, corporate finance and shareholder

communications. She has worked in a broad range of industry sectors including natural resources, food

services and technology, manufacturing, biotech, education services and manufacturing filling such roles as

vice president, president, chief compliance officer, corporate secretary, CEO and CFO.

Currently, Ms. Danforth is the President of The Accounting Connection Ltd., a Calgary based accounting

and audit support firm that provides bookkeeping, financial statement preparation, audit support services and

other financial services under both IFRS and US GAAP for private and public reporting clients. She is also

President of private US -based consulting firm, The Ideal Connection Inc., which focuses on corporate

compliance, paralegal services and consulting to US-based issuers working in concert with The Accounting

Connection staff to provide necessary financial support services. Ms. Danforth is Canadian- born and

educated, well traveled and currently resides in Alberta, Canada.

Commenting on Ms. Danforth’s appointment, Benjamin Hill said, “We have been working closely with Ms.

Danforth for a number of months and are both pleased and grateful that she has accepted the role as the

Company’s CFO.”
