arrangement, and name change
Vancouver, B.C., October 17, 2018 – Quri-Mayu Developments Ltd. (formerly, Quri-Mayu
Ventures Ltd.) (the “Company”) is pleased to announce that as a result of the completion of a
plan of arrang ement between the Company and EVI Global Group Developments Corp.
(“EVI”) under the arrangement agreement entered into on February 9, 2018 and as amended
on March 7, 2018 between EVI, the Company, Quri Resources Ltd., 1155176 B.C. LTD .,
Polarity Minerals Corp., EVI Ventures Corp. (formerly, 1151588 B.C. Ltd.) , and Evolution
Global Financial Corp. (formerly, 1151589 B.C. Ltd.) (the “Arrangement”) , the Company
became a reporting issuer in the provinces of Alberta and British Columbia, and pursuant to
the Arrangement, the Company will issue 855,400 common shares effective as of October 3,
2018 to EVI shareholders of record as of April 12, 2018 who are entitled to receive shares
under the Arrangement. The Company’s CUSIP number is “74915N108” and its ISIN number
is “CA74915N1087”.
The Arrangement received EVI Shareholder approval on March 2, 2018 and final court
approval from the British Columbia Supreme Court under Part 9, Division 5 of the Business
Corporations Act (British Columbia) on March 9, 2018. Further information regarding the
Arrangement can be found on EVI’s SEDAR profile at www.sedar.com. Under the
Arrangement, the effective date for the Arrangement can be set separately as between EVI and
each of the other parties to the Arrangement. Pursuant to the Arrangement, the effective date
for the Arrangement as between EVI and the Company was set for October 3, 2018.
The Company was incorporated on November 28, 2017 and its fiscal year end is October 31st.
On August 13, 2018 the Company changed its name from “ Quri-Mayu Ventures Ltd. ” to
“Quri-Mayu Developments Ltd.”
