PRIVATE PLACEMENT

VANCOUVER, BC, October 6, 2025 – Mexican Gold Mining Corp. (the “ Company” or “ Mexican
Gold”) (TSXV: MEX) announces that it has arranged a fully-allocated non-brokered private
placement of up to 10,000,000 units of the Company (the “Units”) at a price of $0.085 per Unit to
raise gross proceeds of up to $ 850,000 (the “Offering”). Each Unit consists of one (1) common
share of the Company (“Share”) and one (1) transferable common share purchase warrant
(“Warrant”), whereby each Warrant shall entitle the holder thereof to purchase an additional Share
at an exercise price of $0.12 for a period of three (3) years from the date of issuance.
Mexican Gold intends to use the net proceeds from the Offering as working capital for general
corporate purposes. The Company may pay finders fees to eligible finders in connection with the
Offering in accordance with the policies of the TSX Venture Exchan ge (the “ Exchange”). All
securities to be issued and issuable pursuant to the Offering will be subject to a hold period of four
months from the date of issuance in accordance with applicable Canadian securities laws.
The Offering is subject to certain conditions including, but not limited to, the receipt of all necessary
regulatory and other approvals, including the approval of the Exchange.
