Prospector Announces Non-Brokered Private Placement
to Fund Drilling on the ML Project, Yukon
Vancouver, BC – April 17, 2025, Prospector Metals Corp. (“ Prospector ” or the “ Company ”) (TSXV:
PPP ; OTCQB: PMCOF ; Frankfurt: 1ET ) announces a non-brokered private placement to rai se gross
proceeds of up to C$5,000,000 through the issuance of 25,974,025 Charity Flow-Through Units (the
“Charity FT Units”) at a price of $0.154 per Charity FT Unit and 9,090,909 Non-Flow-Through common
shares (the “NFT Shares”) at a price of $0.11 per NFT Share (the “Offering”).
Each Charity FT Unit will be comprised of one flow-through common share (a “FT Share”) and one half
of one non-flow-through common share purchase warra nt (each whole warrant, a “Warrant”). Each
Warrant will be exercisable at a price of $0.30 int o one common share for a period of two years from
the date of issuance.
Prospector intends to use the proceeds of the Offering to fund its exploration program at its ML Project
in the Yukon which includes up to 5,000 meters of d iamond drilling focused on 5 target areas as
reported in the Company’s news release dated April 9, 2025.
The Offering is expected to close on or about May 6, 2025, and is subject to certain closing conditions
including, but not limited to, the receipt of all necessary approvals including the conditional approval of
the TSX Venture Exchange.
The Company may pay finders’ fees under the Offering in accordance with applicable securities laws
and the policies of the TSX Venture Exchange. The securities issued under the Offering will be subject
to a hold period under applicable securities laws in Canada expiring four months and one day from the
closing date of the Offering.
The FT Shares will qualify as “flow-through shares” (within the meaning of subsection 66(15) of the
Income Tax Act (Canada) (the “Tax Act”)). An amount equal to the gross proceeds from the issuance
of the FT Shares will be used to incur eligible res ource exploration expenses which will qualify as (i )
“Canadian exploration expenses” (as defined in the Tax Act), and (ii) as “flow-through critical minera l
mining expenditures” (as defined in subsection 127( 9) of the Tax Act) (collectively, the “Qualifying
Expenditures”). Qualifying Expenditures in an aggre gate amount not less than the gross proceeds
raised from the issue of the FT Shares will be incurred (or deemed to be incurred) by the Company on
or before December 31, 2026 and will be renounced b y the Company to the initial purchasers of the
FT Shares with an effective date no later than December 31, 2025.
