Silver Pony Announces Option Grant and Marketing Engagement

Vancouver, British Columbia – September 3rd, 2026 – Silver Pony Resources Corp. (formerly Carlyle

Commodities Corp.) (“ Silver Pony ” or the “ Company”) ( CSE:PONY , FSE:BJ40, OTCID:PONIF) an-

nounces that it has approved the issuance of 1,150,000 stock options (each, an “Option”) to an insider

and founder of the Company for the purchase of up to 1,150,000 common shares in the capital of the

Company (each, a “Share”) pursuant to the Company’s equity incentive plan (the “Plan”). Each Option

vested immediately and is exercisable for a period of five (5) years at an exercise price of $0.20 per

Share.

The Options were granted pursuant to the Plan, which was originally approved by shareholders at the

Company’s annual general meeting held on December 29, 2022. Under the policies of the Canadian

Securities Exchange (the “CSE”), the Plan is required to be re -approved by shareholders every three

years. Despite the Plan not being re -approved by shareholders in the last three years, t he CSE has

permitted the grant of the Options, provided that: (i) the grants are expressly subject to shareholder

re-approval of the Plan and cannot be exercised unless and until such approval is obtained; and (ii) if

shareholder approval is not obtained, the Options will automatically terminate and be cancelled with-

out any further action or compensation. The Company intends to seek re -approval of the Plan at its

next annual general meeting of shareholders.

All Shares issued upon exercise of the Options will be subject to a hold period of four months and one day

from the date of grant in accordance with applicable securities legislation and the policies of the CSE.

Marketing Engagement

The Company has entered into an independent consulting agreement dated September 3rd, 2026,

with Avec Creations Ltd. (“Avec”), pursuant to which Avec will produce, edit and disseminate video

and CEO interviews via X and YouTube, as well as feature the Company's notable news releases in its

newsletter. The services will commence September 3rd, 2026, for a term of three (3) month s. In

consideration for these services, the Company will pay the consultant a one-time fee of $20,000.00.

Avec is an arm's length party to the Company and, to the knowledge of the Co mpany, holds no

securities of, and has no other interest, direct or indirect, in, the Company. All materials produced and

disseminated under this engagement will disclose that they are issued by or on behalf of, and paid for

by, the Company, in accordance with applicable securities legislation.
