Prosper Gold Corp. Announces Private Placement

Vancouver, British Columbia – March 21, 2025 – Prosper Gold Corp. ("Prosper Gold" or the "Company")

(TSXV: PGX) is pleased to announce a non -brokered private placement financing (the “Financing”) of

common shares in the capital of the Company that will qualify as “flow-through shares” for the purposes

of the Income Tax Act (Canada) (each, a “FT Share”). The Financing will be completed in one or more

tranches and consist of up to 5,000,000 FT Shares at a price of $0.10 per FT Share for gross proceeds to the

Company of up to $500,000.

Prosper Gold expects to use the net proceeds from the Financing to fund exploration activities at the

Company’s Cyprus Project.

Completion of the Financing is subject to customary closing conditions including the approval of the TSX

Venture Exchange (the “TSXV”).
