Pacific Empire Announces Private Placement

April 17, 2018, Vancouver, BC, Canada - Pacific Empire Minerals Corp. (TSXV: PEMC) (“PEMC” or
the “Company”), a hybrid prospect generator focused in British Columbia, announces a non-brokered
private placement (the “Private Placement”) of up to 1,000,000 units of the Company (the “Units”) at a
price of $0.20 per Unit with each Unit comprised of one common share and one transferable common
share purchase warrant (the “Warrant”). Each Warrant will entitle the holder to purchase one common
share of the Company (a “Warrant Share”) at an exercise price of $0.30 per share for a period of 36 months
from the closing date.
The Shares and Warrant Shares will be subject to a resale period under Canadian securities law.
Proceeds from the financing will be used to fund exploration of the Company’s portfolio of exploration
projects and general working capital. The Company may pay finder’s fees consisting of a cash commission
equal to 6% of the aggregate gross proceeds raised and finder’s warrants equal to 6% of the total number
of Units sold. Each finder’s warrant will entitle the holder to purchase one common share in the capital of
the Company at an exercise price of $0.30 per share for a period of 36 months from the closing of the
Private Placement. The Private Placement is subject to TSX Venture Exchange approval.
