REX RESOURCES CORP. TERMINATES LETTER OF INTENT

VANCOUVER, B.C. – REX RESOURCES CORP. (TSX-V: OWN) (“Rex”), a mineral exploration

company listed on the TSX Venture Exchange (the “Exchange”), announces that, effective April 4, 2023,

it terminated its letter of intent (the “ LOI”) with Southern Sky Resources Corp. (“ Southern Sky ”) in

respect of a proposed reverse takeover transac tion. The Company wishes Southern Sky success in

developing is mineral projects in the future. For additional details regarding the LOI, please see the

Company’s news release dated March 3, 2023, which is available on the Company’s SEDAR profile at

www.sedar.com.

The Company will resume searching for new busin ess opportunities that can deliver value for its

shareholders. There can be no assurances that the Co mpany’s efforts will result in any other transaction

being pursued, entered into, or consummated.

The Company is working with the Exchange to determine when the Company’s common shares are

expected to resume trading and an update will be provided in due course.
