Rex Resources Announces Effective Date for Share Consolidation

May 30, 2025 – Vancouver, B.C. – Rex Resources Corp. (TSXV: OWN, FWB: 94G) (“Rex” or the

“Company”) announces that the Company’s previously-disclosed consolidation of common shares on the

basis of one (1) new share for every three (3) old shares (the “ Consolidation”) is anticipated to be

completed on or about June 4, 2025.

Pursuant to the Business Corporations Act (British Columbia) and Rex’s articles, shareholder approval was

not required for the Consolidation and it was instead approved by the board of directors of the Company.

Rex initially announced the Consolidation in a news release dated March 21, 2025.

The common shares of the Company are expected to begin trading on the TSX Venture Exchange (the

“TSX-V”) on a post-Consolidation basis effective at market open on Wednesday, June 4, 2025. The

Company currently has 24,019,285 issued and outstanding common shares and, following the completion

of the Consolidation, it anticipates having approximately 8,006,428 common shares issued and outstanding.

The Company’s name and trading symbol will remain unchanged following the Consolidation. The new

ISIN and CUSIP associated with the post -Consolidation common shares are CA76161L1075 and

76161L107, respectively.

No fractional shares will be issued in connection with the Consolidation. Any fractional interest in the

Company’s common shares that is less than 0.5 of a share resulting from the Consolidation will be rounded

down to the nearest whole share, and any fractional interest that is equal to or greater than 0.5 of a share

will be rounded up to the nearest whole share. The Consolidation will affect all shareholders uniformly and

will not alter any shareholder ’s relative interest in the Company’s equity securities, except for a ny

adjustments for fractional shares.

The exercise price of and the number of common shares of Rex issuable under any convertible securities

of the Company will be proportionately adjusted upon the completion of the Consolidation.

The Consolidation remains subject to the approval of the TSXV .
