NORTH AMERICAN POTASH ANNOUNCES PRIVATE PLACEMENT

Vancouver, British Columbia, Canada – August 13, 2018– North American Potash Developments Inc.

(TSX-V: NPD.H) (the “Company”), is pleased to announce that it intends to complete a non-brokered

private placement (the “Offering”) to raise up to $600,000 through the issuance of up to 12,000,000

subscription receipts at a price of $0.05 per subscription receipt.

It is expected that The Emprise Special Opportunities Fund (2017) Limited Partnership (“Emprise

LP2017”) will subscribe for 10,000,000 subscription receipts, which will result in Emprise LP2017 owning

a control position in the Company.

The proceeds of the financing will be held in escrow, subject to the satisfaction of the following

conditions:

1. Consolidation of the Company’s common shares on a 1.75 old for 1 new basis;

2. The Company obtaining final TSX Venture Exchange approval to the financing; and

3. The Company obtaining shareholder approval to the change of control contemplated in the

Offering.

Upon the satisfaction of the escrow conditions, each subscription receipt will automatically convert into

one unit (“Unit”) of the Company for no additional consideration. Each Unit will consist of one post-

consolidated common share and one share purchase warrant, with each share purchase warrant

entitling the holder to acquire one additional post-consolidated common share at a price of $0.07 per

share for a period of 12 months from the date the warrants are issued.

The Company intends to use the proceeds of the financing for repayment of debt and for general

working capital purposes. Closing of the Offering remains subject to the approval of the TSX Venture

Exchange.

The Company also announces that its Annual General and Special Meeting (“AGSM”) will be held in

Vancouver, BC on September 28, 2018 at 10:30 am (Vancouver time). In addition to the standard items

of business at general meetings, shareholders will be asked to approve a resolution for the Company to

proceed with the change of control contemplated in connection with the Offering.

Full details on the AGSM will be contained in the Management Information Circular prepared for the

meeting, which will be mailed to the Company’s shareholders and available for review under the

Company’s profile atwww.sedar.com.

The Company currently does not have an active business, and is investigating new business

opportunities.
