NEXUS GOLD ANNOUNCES PRIVATE PLACEMENT
Vancouver, British Columbia – December 9, 2025 – NEXUS GOLD CORP. (the
“Company”) (TSX.V: NXS) announces that it will conduct a non-brokered private placement
(the “Offering”) of up to 10 ,500,000 units (each, a “ Unit”) at a price of $0.1 05 per Unit for
gross proceeds of up to $1,102 ,500. Each “Unit” will consist of one common share of the
Company, and one-half of one share purchase warrant (each whole warrant, a “Warrant”).
Each Warrant is exercisable to acquire an additional common share at a price of $0. 20 for
a period of 24 months.
The Company intends to use the net proceeds of the Offering for the identification and
evaluation of potential new gold assets, including due diligence and closing costs, to retire
certain past payables, and for general working capital purposes.
In connection with the completion of the Offering, the Company may pay finders’ fees to
eligible third-parties who have introduced subscribers to the Offering. All securities issued
in connection with the Offering will be subject to restrictions on resale for a period of four
months and one day in accordance with applicable securities laws. Completion of the
Offering remains subject to the approval of the TSX Venture Exchange.
