NEXUS GOLD ANNOUNCES CLOSING OF PRIVATE PLACEMENT
Vancouver, British Columbia – April 30, 2025 – NEXUS GOLD CORP. (the “Company”)
(TSX.V: NXS) announces that it has closed its non-brokered private placement (the
“Offering”) of units (each, a “Unit”) at a price of $0.01 per Unit. Each “Unit” consists of one
common share of the Company, and one share purchase warrant (each, a “ Warrant”)
exercisable to acquire an additional common share at a price of $0.05 until April 30, 2030.
In connection with the closing of the Offering, the Company issued 42,000,000 Units for
gross proceeds of $420,000
The Company anticipates using the proceeds of the Offering to retire existing payables,
address audit and public disclosure costs, maintain existing property interests, and provide
general working capital to support the Company's operations. In addition, the Company may
use up to ten percent of the proceeds for investor relations activities. The Company does
not anticipate completing payments to non-arms-length parties from the proceeds of the
Offering, aside from compensation for services rendered in the ordinary course of business.
No finders’ fees were paid in connection with the completion of the Offering. All securities
issued in connection with the Offering are subject to restrictions on resale until August 31,
2025 in accordance with applicable securities laws.
