NXE, ASX:NXG) is pleased to announce it has mailed a Notice of Meeting and Management Information Circular
to Shareholders of record as of Monday, May 11, 2026 in connection with the Annual General and Special Meeting
of the Company to be held on Tuesday, June 30, 2026, at 2:00 p.m. (Pacific Time).

Shareholders are encouraged to read the meeting materials including the Management Information Circular that
provides a detailed analysis of important considerations for voting at the meeting. These materials have been filed

Shareholders will be asked to vote on the following matters:
1. Elect directors for the ensuing year;
2. Appoint PricewaterhouseCoopers (PWC) as independent auditor of the Company for the 2026 financial
year and to authorize the directors to fix their remunerations;
3. Approve the continuation, amendment, and restatement of the Company’s Shareholder Right’s plan ; and
4. Set the number of directors at nine;
