NexGen Annual General and Special Meeting to be Held June 11, 2020

Vancouver, BC, May 6, 2020 – NexGen Energy Ltd. (“NexGen” or the “Company”) (TSX: NXE, NYSE MKT:

NXE) announces that it has mailed the notice of meeting and management information circular to

shareholders of record as of April 21, 2020 in connection with the Annual General and Special Meeting to

be held at the offices of NexGen Suite 3150-1021 West Hastings Street, Vancouver, British Columbia on

Thursday, June 11, 2020, at 2:00 p.m. (Pacific Time).

Shareholders will be asked to vote on the following matters:

1. Elect the eight Directors for the ensuing year;

2. Re-appoint KPMG LLP as independent auditor of the Company for the 2020 financial year and to

authorize the Directors to fix their remuneration; and

3. Consider, and if deemed appropriate, to approve, with or without variation, an ordinary resolution for

the ratification, confirmation and approval of the amendment and restatement of the Shareholder

Rights Plan Agreement dated as of April 22, 2017 between the Company and Computershare Investor

Services Inc., all as more particularly described in the management information circular.

The Board of Directors of NexGen recommends that shareholders

vote in favour of all proposed items.
