Nuinsco Announces and Closes Private Placement

Toronto, September 1, 2023 – Nuinsco Resources Limit ed (“ Nuinsco” or the “Company”) (CSE: NWI) today

announced that, effective August 31, it has closed a non-brokered private placement offering in two tranches,

issuing 17,887,500 units (each, a “ Unit”) at a subscription price of $0.0 064 per Unit for aggregate proceeds of

$114,480 (the “Offering”).

Each Unit consisted of one common share of the Company (“Common Share”) and one-half of one warrant (each

whole warrant a “Warrant”). Each Warrant entitles the holder thereof to purchase one common share of the

Company at an exercise price of $0.05 per share for a period of 36 months from the issue date. Proceeds from the

Offering will be used to advance the Company’s Prairie Lake critical metals project located near Terrace Bay, Ont.
