The Company reports that it has negotiated a private placement of up to 75,000,000 units at $0.01 per unit. Each unit consists of one share and one transferable share purchase warrant exercisable for 5 years. The warrants are exercisable at $0.05 per share during the first year and $0.10 thereafter. A finder’s fee is payable according to the rules set out by the TSX Ventures Exchange.

The proceeds of the private placement will be utilized to maintain the Company’s current business and to explore the Company’s Iron Mask Property claim group located adjacent to the AJAX copper project which is currently being developed by a joint venture between Abacus Mining and Exploration Corp. and KGHM Polska Miedza S.A.

The completion of the above transaction is subject to regulatory approval.
